By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

To use our Platform, you must:

  • Be an India-resident individual with equity compensation income (such as RSUs or ESOPs)
  • Have the legal capacity to enter into a binding agreement
  • Not be barred from using financial services under Indian law
  • Provide accurate and complete registration information

3. Account Registration and Security

3.1 Account Creation

To access our services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Security Measures

We implement bank-level encryption and security protocols to protect your data. However, you must:

  • Keep your password secure and confidential
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access
  • Use a secure internet connection when accessing your account

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we suspect fraudulent activity, violation of these Terms, or for any other reason at our sole discretion.

4. Services Offered

Our Platform provides financial tools and services for individuals and businesses, including tax reporting, investment management, and related financial services. Currently, Ziliqon Labs offers Rupie, a tax reporting tool for employees with equity compensation. Specific features, functionality, and availability are subject to change and will be detailed in product documentation.

4.1 Service Limitations

Important limitations and disclaimers:

  • Rupie is a tax reporting tool, not a SEBI-registered investment advisor. Reports generated by the Platform are not investment or tax advice; users should consult a qualified Chartered Accountant
  • All calculations, projections, and estimates are based on data and assumptions that may change
  • Past performance and projections are not indicative of future results
  • You are responsible for reviewing and verifying all reports before use

5. Subscription and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing, features, and terms will be presented to you during the subscription process and are subject to change with notice.

5.2 Payment Terms

By subscribing to our services:

  • You authorize us to charge the payment method provided for applicable fees
  • Subscriptions renew automatically unless canceled before the renewal date
  • All fees are in Indian Rupees (INR) and are non-refundable except as required by law
  • You may cancel your subscription at any time through your account settings
  • We reserve the right to modify pricing with 30 days' advance notice

6. User Responsibilities and Prohibited Conduct

6.1 Acceptable Use

You agree to use our Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Provide false or misleading information
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated systems (bots, scrapers) to access the Platform
  • Reverse engineer or attempt to extract source code
  • Share your account credentials with others
  • Use the Platform for any illegal financial activities
  • Interfere with or disrupt the Platform's operation

6.2 Data Accuracy

You are responsible for ensuring that all information you provide (including equity holdings, vesting schedules, and financial data) is accurate and up-to-date. We are not liable for incorrect calculations or recommendations based on inaccurate user-provided data.

7. Intellectual Property Rights

7.1 Ownership

All content, features, and functionality of the Platform are owned by Ziliqon Labs and are protected by Indian and international intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. All rights not expressly granted are reserved.

8. Third-Party Services

Our Platform may integrate with or link to third-party services and platforms. These integrations are subject to:

  • Availability and may change without notice
  • The third parties' own terms of service and privacy policies
  • Third-party fees, limitations, and restrictions

We are not responsible for the availability, accuracy, content, or practices of any third-party services.

9. Disclaimers and Limitation of Liability

9.1 Tax Reporting Disclaimer

Rupie generates tax computation reports as a software tool only. It is not a SEBI-registered investment advisor, and no financial advice is provided through the Platform. Users seeking tax or investment advice should consult a qualified Chartered Accountant or SEBI-registered advisor. Where the Platform connects users to third-party CA firms for filing assistance, those firms act independently and are not agents of Ziliqon Labs.

9.2 Service "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3 Limitation of Liability

To the maximum extent permitted by Indian law, Ziliqon Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Platform
  • Unauthorized access to your account or data
  • Errors or inaccuracies in data or calculations
  • Third-party conduct or content on the Platform
  • Loss of financial opportunity or investment losses

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9.4 Market Risks

Financial assets and investments carry inherent market risks. Past performance is not indicative of future results. We are not responsible for market fluctuations or changes in asset values.

9.5 Document Processing

By uploading documents to the Platform, you consent to their contents being processed by a vetted third-party cloud service for automated data extraction. This service provider:

  • has been assessed for security and does not use submitted data to train models or share it with third parties;
  • operates under a Zero Data Retention (ZDR) policy — document contents are not stored by the provider after processing; and
  • is SOC 2 Type II certified.

Ziliqon Labs is not liable for errors introduced during automated extraction. You must verify all extracted data before relying on it for tax filings or other purposes.

9.6 Tax Calculation Accuracy

Tax calculations generated by the Platform are based solely on data you provide. Ziliqon Labs does not verify the accuracy of your inputs. Calculated reports are not a substitute for advice from a qualified Chartered Accountant and should not be treated as definitive tax determinations. You are solely responsible for the accuracy and completeness of your income tax filings.

10. Regulatory Compliance

Our Platform operates in compliance with applicable Indian laws and regulations. Users are responsible for ensuring their own compliance with all applicable laws, including tax obligations and financial regulations.

11. Termination

11.1 By You

You may terminate your account at any time through account settings or by contacting our support team.

11.2 By Us

We may suspend or terminate your access to the Platform immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Provide false information
  • Fail to pay subscription fees

11.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable laws. You may request data export before account deletion.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the changes become effective constitutes your acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Platform shall be resolved through:

  1. Negotiation: Good faith negotiations between the parties
  2. Mediation: If negotiation fails, mediation in Bangalore, India
  3. Arbitration: If mediation fails, binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Bangalore, India, in English

13.3 Jurisdiction

Subject to the arbitration clause above, the courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ziliqon Labs, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ziliqon Labs regarding the Platform.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, government actions, or internet service provider failures.
